Annual Return (HE32) in Cyprus: Deadlines and Obligations

The Annual Return (form HE32) is a mandatory yearly filing by every company registered in Cyprus with the Registrar of Companies. It contains the company's current data – directors, secretary, shareholders, share capital, business address – and confirms that the company is active. Failure to file leads to penalty fees and can, in the long run, result in the company being struck off.

Contents of the HE32

The Annual Return contains the company's full name and registration number (HE number), the registered office address, the names, addresses and passport numbers of all directors, the name and address of the company secretary, details of the authorised and issued share capital, details of all shareholders with their shares, and the date of the last financial statements. Changes from the previous year – a change of director, a new business address, a share transfer – must be documented in the HE32. If nothing has changed, the prior-year data is confirmed.

Deadlines and costs

The Annual Return must be filed within 42 days of the anniversary of incorporation. The Registrar fee is EUR 20 for timely filing. If late: EUR 20 plus a penalty of EUR 50 (up to 3 months late), EUR 100 (3–6 months), EUR 250 (6–12 months) or EUR 500 (over 12 months). In addition to the penalty, the Registrar can mark the company as "default" – which can cause difficulties opening bank accounts, concluding contracts and dealing with authorities.

Annual Levy: abolished since 2024

The former annual levy of EUR 350 to the Registrar was abolished as of 1 January 2024 and no longer applies for current years. Only amounts still outstanding for the years 2011 to 2023 remain payable, together with any surcharges. The Annual Return itself is unaffected and must still be filed on time. Online filing

For several years the Registrar of Companies has accepted online filing via the portal efiling.drcor.mcit.gov.cy.
